Terms of Service

1. Acceptance of Terms

By accessing or using OKeep services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. About OKeep

OKeep is operated by Sushko Oleksandr, a sole proprietorship registered in Poland (Jednoosobowa Działalność Gospodarcza), operating under the brand name OKeep.

OKeep provides a software platform connecting restaurants and merchants with their customers. The Platform includes: QR code ordering, loyalty programs (points, vouchers, challenges, journeys, surprise boxes), promotional tools, real-time order management, merchant CRM dashboard, and customer engagement features. OKeep is a technology provider — we do not prepare food, fulfill orders, or operate any restaurant.

3. Early Access

The Platform is currently in early access. This means features may change, be added or removed, and the service may experience downtime or bugs. We provide the Platform on a best-effort basis during this period. No specific uptime, feature availability, or performance level is guaranteed.

4. User Accounts

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may delete your account at any time through the app settings. See our Privacy Policy for details on what happens to your data.

5. For Merchants

If you are a merchant using OKeep, you additionally agree to:

• Provide accurate menu information and pricing
• Honor all orders placed through the Platform
• Maintain food safety and quality standards
• Respond to customer inquiries in a timely manner
• Comply with all applicable laws and regulations, including data protection laws
• Be responsible for the content of your loyalty programs, promotions, and rewards

5.1 Customer Data

OKeep controls customer accounts, platform profiles, and the multi-merchant platform experience. You do not control the OKeep customer account or global customer profile.

You may act as an independent controller for your own commercial interactions with customers (orders, rewards, promotions, communications, fulfillment). You access customer data through the CRM dashboard only in connection with your own merchant context.

You may act as an independent controller for your own commercial decisions and obligations, including order fulfillment, reward terms, promotions you create, customer service, tax and accounting records, and compliance with laws applicable to your business.

You may not access customer activity with other merchants, export customer data from the Platform, or use customer data for purposes outside the Platform without customer consent.

Where OKeep processes personal data on behalf of a merchant as a data processor, such processing is governed by our Data Processing Addendum or other applicable data processing terms agreed with the merchant.

5.2 Rewards and Promotions

You are solely responsible for fulfilling any rewards, vouchers, discounts, or promotions you create through the Platform. OKeep provides the software tools to configure and distribute rewards, but does not guarantee or underwrite their fulfillment. If a customer redeems a valid voucher, you must honor it.

6. For Customers

If you are a customer using OKeep, you agree to:

• Use the Platform for lawful purposes only
• Provide accurate payment information
• Pick up or accept delivery of orders as agreed
• Not abuse loyalty programs (creating multiple accounts, manipulating QR codes, exploiting technical errors)

OKeep facilitates your interaction with merchants but is not a party to your transaction with them. Your order is a contract between you and the merchant. Any complaints about food quality, order accuracy, or service should be directed to the merchant.

7. Loyalty Programs and Rewards

Points, vouchers, challenges, journeys, surprise boxes, and other rewards are subject to the following conditions:

• Points have no cash value and cannot be transferred between users or merchants
• Rewards are created and managed by individual merchants — availability, terms, and expiration are set by the merchant
• Merchants may modify or discontinue their promotions at any time
• Expired vouchers cannot be renewed or refunded
• Abuse of loyalty programs (fake scans, multiple accounts, exploitation of bugs) may result in reward forfeiture and account suspension
• If a technical error results in incorrect reward issuance, we or the merchant may correct the error
• Upon account deletion, unused points and vouchers are forfeited

8. Payments

Online payments are processed by Stripe, a PCI DSS-compliant payment processor. OKeep does not store your credit card details.

• Prices displayed include applicable taxes unless otherwise stated by the merchant
• Payment methods available (card, BLIK, Przelewy24, cash) depend on merchant configuration
• Refund policies are determined by individual merchants
• OKeep facilitates the payment transaction but is not the seller of goods

8.1 Platform Fees

OKeep currently charges merchants a percentage-based fee on online payment transactions processed through Stripe. Fee details are communicated to merchants during onboarding. OKeep reserves the right to introduce additional pricing plans in the future, with reasonable advance notice.

9. Prohibited Conduct

You may not:

• Create multiple accounts to abuse rewards or promotions
• Manipulate QR codes, loyalty points, or reward mechanics
• Access merchant admin features without authorization
• Scrape, reverse engineer, or attempt to extract the source code of the Platform
• Use the Platform to transmit harmful, fraudulent, or illegal content
• Interfere with the Platform's operation or other users' access

10. Intellectual Property

All software, design, trademarks, and intellectual property on the OKeep Platform are owned by OKeep or its licensors. You may not copy, modify, or distribute any part of the Platform without prior written consent.

Merchants retain ownership of their own brand, content, menu data, and promotional materials. By uploading content to the Platform, merchants grant OKeep a limited license to display and process that content solely for the purpose of operating the service.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• OKeep provides the Platform "as is" and "as available" without warranties of any kind, express or implied
• OKeep is not liable for any indirect, incidental, special, or consequential damages
• OKeep is not liable for actions or omissions of merchants, including food quality, order accuracy, or reward fulfillment
• OKeep's total liability to any user shall not exceed the amount paid by that user to OKeep in the 12 months preceding the claim
• These limitations do not affect your statutory rights as a consumer under applicable law

12. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time through the app settings.

Upon termination: unused points and vouchers are forfeited; your personal data is handled as described in our Privacy Policy; merchants retain access to anonymized order records for their business records.

13. Modifications

We reserve the right to modify these terms at any time. When we make material changes, we will notify you through the Platform or by email. Continued use of the Platform after changes constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of Poland. Any disputes shall be resolved by the competent courts in Poland, unless mandatory consumer protection laws of your country of residence provide otherwise.
